Terms of Service

the short version: be honest in your reviews, respect other people's work, and don't try to break the service. the rest of this page is the legally complete version of those three rules.

These Terms of Service ("Terms") govern your access to and use of findmymatcha (the "Service"), operated by findmymatcha ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or legal guardian's permission to use the Service.

By using the Service, you represent and warrant that:

  • You meet the age requirement above.
  • You have the legal capacity to enter into a binding contract.
  • Your use of the Service does not violate any applicable law or regulation.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information.
  • Maintain and update your information as necessary.
  • Keep your authentication credentials secure and confidential.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, present a security or abuse risk.

4. User Content

4.1 Your Content

You retain ownership of the reviews, photos, tier lists, journal entries, and other content you submit to the Service ("User Content").

4.2 License You Grant Us

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting and display purposes only), display, and distribute your User Content in connection with operating and promoting the Service.

This license terminates when you delete the User Content or your account, except to the extent the content has been shared with other users who have not deleted it, or to the extent necessary for us to comply with legal obligations.

4.3 Your Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to submit the User Content.
  • The User Content does not infringe any third party's intellectual property, privacy, or other rights.
  • The User Content complies with these Terms and our Acceptable Use Policy.

4.4 Removal

We may remove User Content at our discretion if we believe it violates these Terms, our Acceptable Use Policy, or applicable law.

5. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Submit false, misleading, or fraudulent reviews or content.
  • Impersonate another person or misrepresent your affiliation.
  • Harass, threaten, or harm other users.
  • Upload viruses, malware, or other malicious code.
  • Attempt to gain unauthorized access to the Service or other users' accounts.
  • Scrape, crawl, or harvest data from the Service except via official APIs we provide.
  • Interfere with or disrupt the Service or the servers and networks connected to it.
  • Use the Service to send spam, advertising, or other unsolicited communications.

6. Intellectual Property

6.1 Our Rights

The Service, including its design, code, text, graphics, logos, and trademarks, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. Except for User Content, you may not copy, modify, distribute, or create derivative works without our written permission.

6.2 Feedback

If you provide us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without obligation to you.

7. Third-Party Content and Links

The Service may include links to third-party websites or content (for example, links to cafe websites). We do not control or endorse third-party content and are not responsible for it. You access third-party content at your own risk.

8. Termination

You may terminate your account at any time by following the deletion process in the Service.

We may suspend or terminate your access to the Service immediately, without notice, if we believe you have violated these Terms or our Acceptable Use Policy, or if your conduct poses a risk to other users or to the Service.

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including User Content license terms, intellectual property, disclaimers, and limitations of liability) will survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses. We do not warrant the accuracy of cafe data, hours, menus, or any other information surfaced through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless findmymatcha, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms with a new "Last Updated" date. Your continued use of the Service after the changes become effective constitutes your acceptance.

14. Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • No Waiver. Our failure to enforce a provision does not waive our right to enforce it later.
  • Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
